1. Introduction

These terms and conditions govern the provision of accountancy and related services by NumberCrunch to its clients. By engaging our services, you agree to these terms. Please read them carefully.

2. Our services

NumberCrunch provides accountancy, bookkeeping, tax preparation, payroll and related financial services as agreed in your engagement letter. The specific services provided, and the fees payable, will be set out in your individual service agreement.

3. Fees and payment

Our fees are as agreed in your service agreement and are payable monthly in advance by direct debit or other agreed method. Fees are exclusive of VAT unless otherwise stated. We reserve the right to review fees annually or upon a material change in the scope of services provided.

We will not apply additional charges without your prior knowledge and agreement.

4. Client responsibilities

You agree to:

  • Provide accurate, complete and timely information required to perform our services
  • Notify us promptly of any changes to your circumstances that may affect your tax or accounting obligations
  • Review and approve all documents and returns before submission where required
  • Pay agreed fees on time

5. Limitation of liability

Our liability to you shall be limited to direct losses arising from our negligence or breach of these terms, and shall not exceed the total fees paid by you in the 12 months preceding the claim. We shall not be liable for any indirect, consequential or special losses.

We carry professional indemnity insurance and are committed to maintaining the highest professional standards.

6. Confidentiality

We will keep all information relating to your affairs strictly confidential and will not disclose it to third parties without your consent, except where required by law (including HMRC obligations and anti-money laundering legislation).

7. Termination

Either party may terminate the engagement by giving 30 days' written notice. Upon termination, we will provide reasonable assistance in transferring your affairs to a new accountant. You will remain liable for all fees due up to the termination date.

8. Anti-money laundering

As a regulated accountancy firm, we are required to comply with the Money Laundering, Terrorist Financing and Transfer of Funds Regulations 2017. We may request identity verification documents before commencing services and are required to report suspicious activity to the relevant authorities where necessary.

9. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
